TekGenio Inc. (“Company,” “we,” or “us”) provides access to information through our website accessible at www.tekgenio.com (the “Site”) and may provide enterprise services, consulting, and software tools to clients across industries (the “Services”). These Services may include Odoo ERP implementation, SAP data management, AI and machine learning development, and related data consulting.

The Site and Services are made available to you only under the following terms and conditions (the “Terms”).

Be responsible for all activity under your account.
Notify us immediately of any unauthorized access or suspected breach.

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or if your conduct may harm TekGenio or others.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

Download or interact with any licensed software, templates, or documents made available by TekGenio for client use (“Licensed Tools”).
Email address.
Phone Number.
Business Address.
Industry and revenue size (if applicable).
Any data submitted via contact forms, demos, or live chat.

You agree not to:

Sell, sublicense, reverse-engineer, or modify our tools or software.
Attempt to derive source code from our proprietary systems.
Combine our Services with third-party tools in a manner that breaches licensing agreements.
Use the Services to conduct unauthorized penetration testing, scraping, or data harvesting.

Prohibited Uses

You may not use the Site or Services to:

Violate any local, state, national, or international laws.
Harm, exploit, or harass individuals or organizations.
Share or post false, misleading, or defamatory content.
Upload or transmit viruses or other malicious code.
Impersonate TekGenio personnel or forge identity credentials.

Our Site and Services may contain links to or incorporate features of third-party websites, software, or platforms (“Third-Party Offerings”) such as:

Odoo, SAP, and related ERP tools
Cloud platforms (e.g., AWS, Google Cloud, Azure)
AI model libraries and APIs (e.g., Hugging Face, OpenAI)
Analytics and visualization tools (e.g., Power BI, Tableau)

TekGenio is not responsible for the content, data handling, or terms of these third-party services. Your use of any such service is governed solely by that provider’s terms and policies.

Ownership and Intellectual Property

As between you and TekGenio:

All content, software, templates, and designs provided via the Site or Services are the property of TekGenio or its licensors.
All rights not expressly granted in these Terms are reserved by TekGenio.

You agree not to copy, modify, or distribute any part of our intellectual property unless explicitly authorized in writing.

Feedback Policy

If you choose to submit ideas, comments, or suggestions regarding our products or services (“Feedback”), you agree that:

TekGenio may use such Feedback freely without restriction.
You relinquish any claim to ownership, compensation, or confidentiality.
Feedback becomes the sole property of TekGenio once submitted.

You represent and warrant that:

You have the legal right to share any submitted content.
Your content does not infringe any copyright, trademark, trade secret, or other proprietary rights.
Your content does not violate any law or regulation.

We reserve the right (but are not obligated) to review, flag, or delete any User Content that violates these Terms or poses a security, reputational, or legal risk to TekGenio.

Acceptable Use Policy

You agree not to use the Site or Services to:

Upload malware, spam, or harmful scripts.
Engage in fraudulent or deceptive practices.
Attempt to breach, overload, or interfere with our infrastructure.

Termination

These Terms will remain in effect until terminated by either party.
You may terminate at any time by ceasing to use the Site or Services and deleting your account. We may suspend or terminate your access at our discretion, including if:

You breach these Terms.
Your use causes legal exposure or technical harm.
Your account has been inactive for 12+ months.

Upon termination:

Your right to use the Services ends immediately.
We may retain anonymized project or usage data as permitted by law.
Sections relating to ownership, disclaimers, limitations, and governing law will survive termination.

AVAILABILITY OR ACCURACY OF OUTPUT OR RESULTS

We make no guarantees that:

Services will be uninterrupted or error-free.
Integration with your systems will be seamless.
Data quality improvements will be measurable without joint collaboration.

Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKGENIO SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
LOSS OF REVENUE, PROFITS, DATA, OR BUSINESS OPPORTUNITY
NON-INFRINGEMENT
DAMAGES EXCEEDING THE AMOUNT YOU PAID TEKGENIO IN THE LAST 12 MONTHS

No oral or written advice shall create additional warranties unless explicitly stated in a signed Master Services Agreement (MSA).

Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Arbitration

If a dispute arises relating to your use of the Site or Services, both parties agree to resolve it through binding arbitration in San Francisco, CA, under the rules of the American Arbitration Association (AAA).

You waive:

The right to bring a class action.
Jury trials.
Claims older than 12 months from the date of discovery.

Each party is responsible for its own legal costs unless otherwise awarded by the arbitrator.

Modifications and General Terms

Changes to Terms

TekGenio reserves the right to update these Terms at any time. Changes will be posted to this page with a new effective date. Continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms.

Assignment

You may not assign your rights under these Terms without our prior written consent. TekGenio may assign or transfer these Terms as part of a merger, acquisition, or restructuring.

Severability

If any provision of these Terms is found to be invalid, the rest will continue in effect.

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific contracts, constitute the entire agreement between you and TekGenio regarding the Site and Services.
